We help you with your PT Company Registration. PT PMDN (Penanaman Modal Dalam Negeri) refers to investment activities conducted within the territory of the Republic of Indonesia by domestic investors. Unlike foreign investment, PMDN is not eligible for immigration facility services.
One of the key advantages of PMDN is the flexibility to operate in any sector without restrictions on foreign ownership. Additionally, domestic investors benefit from a deep understanding of the local market, potential government support, and sectoral flexibility.
Key considerations before establishing a PT PMDN
Before setting up a PMDN company (PT PMDN), investors should take the following factors into account:
Capital Investment Requirements
-
- A minimum capital investment is required to declare an investment plan in accordance with the latest regulations issued by the Indonesian Investment Coordinating Board (BKPM). The minimum capital requirement is IDR 50,000,000.
- This amount must be deposited in an Indonesian bank account.
- At least 25% of the total capital must be prepaid and allocated for business operations.
Shareholders
- A PMDN company must have a minimum of two shareholders.
These shareholders will assume the roles of the main director and main commissioner. - Shareholders can be either individuals or legal entities; however, they must be
- Indonesian citizens or entities owned by Indonesian nationals.
Business Activities
- The business activities must align with the designated business field in which the company intends to operate.
Registered Company Address
- The company must have a registered office address, which will be officially recorded as the business’s operational location.
To open a PT PMDN, the following documents are required:
- The company name must consist of three words.
- Shareholder information for each shareholder, including:
- KTP (Identity Card),
- NPWP (Taxpayer Identification Number)
- KK (Family Card)
- Residential address (must be in Bali)
- Email address
- Phone number
- The investor must fill out the PMDN registration form and provide the required shareholder details.
- Once the form is received, we will verify the Business Classification Number (KBLI) that aligns with the company’s intended business activities.
- After confirming the appropriate KBLI, we will proceed with notarial processing, which includes:
- Drafting the Notary Deed,
- Obtaining the Deed of Establishment from the Ministry of Law and Human Rights,
- Completing the Online Single Submission (OSS) registration.
- Before issuing the original documents, the notary will send a draft of the Notary Deed for review. The investor must confirm whether all details are correct.
- Once the draft is approved, all shareholders must sign the Notary Deed.
- After the signing is complete, we will finalize the official documentation, which typically takes 3-5 working days.
If you don’t have all the documents together when you apply, it is not a problem. Simply send the missing documents via WhatsApp or via email once you have them. You will get the contact details via email after placing the order (please also check your spam).
It is important to know that we can only submit your application once we have received all the required documents and payment from you.
